These Terms of Use and End User License Agreement (“Terms”) are between VIVID INSIGHT UNIPESSOAL LDA, NIF 517951371, registered at Rua Victor de Sá, 33, 4715-586 Braga, Portugal (“Vivid Insight”, “we”), and the person or legal entity acquiring or using the App (“Customer”, “you”).

By installing, ordering, accessing, or using the App, you represent that you have authority to bind the Customer and agree to these Terms. If you do not agree, do not install or use the App.

1. App and Marketplace order

The App is a paid Atlassian Forge app that connects a customer-owned Telegram bot to Jira Cloud. The current release provides Telegram channel/group notifications, per-channel project/event/filter rules, ticket-key parsing in eligible group chats, and a temporary supported-settings import path.

Personal direct-message notifications, due-date reminders, customizable message templates, and bidirectional Jira comment synchronization are not included unless separately released and documented.

Your Marketplace order, licensed user/tier quantity, subscription term, evaluation, billing, taxes, cancellation, and Marketplace remedies are handled under the applicable Atlassian Marketplace terms and order. If those terms conflict with these Terms on Marketplace billing or distribution, the Atlassian terms control for that subject.

2. License

Subject to payment, an active Marketplace license, and compliance with these Terms, Vivid Insight grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to install and use the App internally with the authorized Atlassian site and licensed tier.

Customer may permit its employees and contractors to use the App for Customer's internal business, provided Customer remains responsible for them. No rights are granted except those expressly stated.

3. Customer responsibilities

Customer will:

  • administer Jira, Telegram, the customer-owned bot, destinations, permissions, and App configuration;

  • obtain lawful rights, notices, and consents for data sent from Jira to Telegram;

  • ensure Telegram destinations are appropriate and authorized to receive selected Jira content;

  • protect the bot token and administrator access and promptly rotate compromised credentials;

  • comply with Atlassian, Telegram, and applicable third-party terms;

  • maintain appropriate backups/records where required and test configuration changes;

  • use the App only for lawful business purposes.

The App sends messages according to Customer's rules. Customer is responsible for reviewing event, project, and advanced-filter selections, including the fact that an empty event selection sends nothing and that Telegram copies are outside Jira after delivery.

4. Restrictions

Except where applicable law prohibits the restriction, Customer must not:

  • copy, modify, translate, create derivative works of, reverse engineer, decompile, or attempt to extract source code from the App;

  • bypass licensing, security, rate limits, tenant isolation, or access controls;

  • use the App to transmit unlawful, infringing, malicious, deceptive, or unauthorized data;

  • probe or test security without prior written authorization under our vulnerability disclosure process;

  • resell, sublicense, rent, time-share, or provide the App as a standalone service to third parties;

  • interfere with Atlassian, Telegram, other customers, or the App's operation.

5. Third-party services

The App depends on Atlassian Cloud/Forge, Atlassian Marketplace, Telegram Bot API, Customer's Jira and Telegram environments, and temporarily the previous-app migration service. Their availability, data handling, features, and terms are outside Vivid Insight's control.

Customer instructs the App to send selected content to Telegram and acknowledges that uninstalling the App does not remove messages already delivered to Telegram. Vivid Insight is not responsible for Customer's Telegram administrators, members, bots, retention, or downstream use.

6. Data protection and security

Our Privacy Policy describes controller processing. Where Vivid Insight processes personal data for Customer, the published Data Processing Addendum (“DPA”) forms part of these Terms if applicable.

Customer must not provide sensitive personal data, regulated secrets, or special-category data unless necessary, lawful, and protected by an appropriate written agreement and configuration. Security measures do not eliminate all risk.

7. Support and changes

Support is provided under the published Support Policy. Response targets are not resolution guarantees or service-level credits unless an order expressly states otherwise.

We may update the App to fix defects, address security/platform changes, improve operation, or change features. We will use reasonable efforts to document material changes. Atlassian or Telegram changes may require urgent modification or discontinuation of affected functionality.

8. Intellectual property and feedback

Vivid Insight and its licensors retain all rights in the App, documentation, branding, and related technology. Customer retains rights in Customer Data. Customer grants us only the rights necessary to operate/support the App and comply with law.

If Customer provides feedback, Customer grants Vivid Insight a worldwide, perpetual, irrevocable, royalty-free right to use it without identifying Customer or disclosing Customer confidential information.

9. Confidentiality

Each party will protect the other's non-public information using at least reasonable care and use it only for the agreement. Confidentiality does not cover information lawfully known without restriction, independently developed, publicly available without breach, or lawfully received from another source. Required disclosures may be made after notice where legally permitted.

10. Warranties and disclaimers

Each party warrants it has authority to enter the agreement. Vivid Insight warrants it will provide the App with reasonable skill and care and will not knowingly introduce malicious code.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP, DOCUMENTATION, IMPORT TOOL, AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION, AND ERROR-FREE DELIVERY. WE DO NOT WARRANT ATLASSIAN, TELEGRAM, INTERNET, OR CUSTOMER SYSTEMS.

Nothing excludes mandatory consumer rights, although the App is intended for business use.

11. Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL LOSS, OR LOSS OF PROFITS, REVENUE, GOODWILL, ANTICIPATED SAVINGS, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

EXCEPT FOR CUSTOMER'S PAYMENT OBLIGATIONS, MISUSE OF INTELLECTUAL PROPERTY, BREACH OF CONFIDENTIALITY OR DATA-PROTECTION OBLIGATIONS, FRAUD OR WILFUL MISCONDUCT, AND LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM THE APP AND THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE FOR THE APP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

12. Indemnity

Customer will defend and indemnify Vivid Insight against third-party claims, damages, and reasonable costs arising from Customer Data, Customer's unlawful configuration or use of the App, unauthorized Telegram recipients selected by Customer, or Customer's violation of applicable third-party terms. Vivid Insight will promptly notify Customer of a covered claim, provide reasonable cooperation at Customer's expense, and allow Customer to control the defence and settlement, provided a settlement does not admit fault by or impose non-monetary obligations on Vivid Insight without written consent.

13. Term, suspension, and termination

These Terms continue while Customer has an active right to use the App. Access may become inactive when the Marketplace license is inactive, suspended, expired, or cancelled. Stored Forge configuration remains unchanged while a license is inactive, subject to Atlassian's lifecycle rules.

Either party may terminate for material breach not cured within 30 days after notice, or immediately for an incurable breach, unlawful use, security threat, or insolvency where permitted. On termination, Customer must stop use and uninstall the App. Data deletion/retention follows the Privacy Policy, DPA, Telegram/customer controls, and Atlassian Forge lifecycle.

Sections intended by nature to survive do so, including payment, restrictions, IP, confidentiality, disclaimers, liability, and disputes.

14. General

Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations. Customer may not assign these Terms without consent except in a merger or sale of substantially all relevant assets; Vivid Insight may assign to an affiliate or successor. Invalid provisions will be adjusted to the minimum extent necessary; the remainder continues. Failure to enforce is not waiver. These Terms, the order, DPA, Privacy Policy, and incorporated Atlassian terms are the complete agreement for the App.

Notices to Vivid Insight must be sent to info@vividinsight.xyz and Rua Victor de Sá, 33, 4715-586 Braga, Portugal. Notices to Customer may use Marketplace or account administrator contact details.

These Terms are governed by the laws of Portugal, excluding conflict rules, and the courts of Braga, Portugal have exclusive jurisdiction, except that either party may seek urgent injunctive relief and mandatory law may require another forum.
